The technology underlying TrafficCentral is based on Navscreen technology which effectively splits the screen real estate for presentation of more then one website. The seller of this ad is an authorized TrafficCentral reseller. Your purchase of the website and/or other goods and services through this advertisement indicates that you are in agreement with these terms as applied to both the seller and reseller of the goods or services.

You agree completely that no fabrication of traffic will occur, be allowed, and if identified will be eliminated. You will take all reasonable steps to block and/or isolate any network points entering or affecting the TrafficCentral network at your node and/or level of control. You agree to report any illicit or unethical or questionable activity immediately to TrafficCentral central staff.
 
TrafficCentral headquarters staff will have the perpetual responsibility and right to adjust and update the key traffic distribution algorithms that determine traffic allocation to member priority levels and TrafficCentral quality monitoring feeds and exchange feeds. You agree to allow TrafficCentral staff admin level access to the site hosting and databases for the purposes of auditing, license enforcement, and maintenance. You understand the benefit to the node owner is that we Traffic Central's intent of helping to ensure that your system is working properly and predictably and that there is a reputable consistency associated with the TrafficCentral namebrand and logo. You understand there is great marketing benefit and value in this for the node owner, and you will be asked to display future "Audited by TrafficCentral on (DATE)" information on your site. A ~1% datafeed to TrafficCentral for each level and a ~1% feed to the upline node will be configured, where appropriate, by TrafficCentral staff, or by application of software patches, whichever TrafficCentral delivers..

You will operate in an ethical manner as to maintain the TrafficCentral brand in high public esteem. Breaches or illicit conduct will forfeit your rights to being a TrafficCentral reseller.
  
You can and will operate under your own business name but will have the right to display the appropriate approved TrafficCentral reseller banners and logo giving copyright credit to TrafficCentral. By default, the level of banner for this exchange node will be Gold unless otherwise stipulated. The level of reseller membership will be Gold as well with purchase of this license, unless specified otherwise.

You will be responsible for all taxes related to sales you process.
 
You must be identification verified officially by the current standard method of identification, whatever that may be determined as by TrafficCentral. A formally signed identification document must be provided, as well as physical mailing address, and accurate phone contact information in order to qualify as a TrafficCentral reseller, exchange operator, or vendor.

You agree that running your own node may or may not be profitable or without problems and hold TrafficCentral blameless for any losses experienced by you relative to operating a TrafficCentral node. You understand that TrafficCentral cannot guarantee volume of traffic and will strive primarily to deliver the highest quality unique human-centric visitor traffic.
 
You will manage your local websites/customers, exchange databases, and resellers. You understand that TrafficCentral is not responsible for your education regarding how to operate and TrafficCentral product, website, exchange, or traffic mixer, and/or how to operate a business in general.

You understand that you may be asked to apply miscellaneous patches or upgrades to your system periodically and agree to do so, and if you cannot, you will hire an appropriately skilled company to do the work for you in a timely manner, or contact TrafficCentral staff for assistance in finding a qualified installer. You understand that you are responsible for maintaining your system in good working order and will follow TrafficCentral instruction to the best of your ability.
 
You understand that if you or anyone representing you is found to be responsible for generating false (computer / non human initiated) traffic, you will permanently lose the right to resell any TrafficCentral product(s), lose the right to use the logos and other brands, or make claim to being a TrafficCentral reseller, exchange operator, or participant. You also agree to not misrepresent any TrafficCentral product and if found to be doing so repeatedly, will forfeit your licensure.

Upon expiration of your periodic use license allowing you or your company to use TrafficCentral technologies and or services and or operate the business based on the TrafficCentral products you have contracted, you agree to renew or pay a fair annual membership/renewal fee as required for the type of product or service license which you originally selected. You understand that not renewing a license is cause to terminate all use of TrafficCentral related software, hardware, or use of brand information, literature, and logos. You agree that if you choose not to renew said license, you will within 30 days of the anniversary date of your contract, terminate all use of the software or other licensed information assets which TrafficCentral, or it's partners or resellers may have provided you under the original license(s). You also understand that this 30 day period is a grace period and courtesy extended to non-offending TrafficCentral customers and or node owners and may be eliminated at the discretion of TrafficCentral. Upon termination of any license, you will return all information assets to TrafficCentral including all copies, and will destroy all local copies of said assets within 30 days of license expiration.

Regarding traffic monitoring and allocation, if a higher level intermediate node between your site and or exchange node, and the master TrafficCentral mixers, does not exist, all residual traffic previously anticipated to be allocated to the higher node for redistribution may be directed to TrafficCentral mixers, unless alternate arrangements are made and agreed to in writing.

You agree not to reverse engineer the system other than for the point of education and internal understanding. Upon determining the specific operation and internal algorithms, or concepts of this exchange, you will not share this information with any third parties, and stringent, yet reasonable, protections will be put in place to eliminate or prevent access to the system, concepts, or source code by any third parties and agree that release of such detail or information can have irreparable damage and hindering reputation, marketshare, and profitability of TrafficCentral and all of it's network partners, node owners and partners. You agree that this list of potential damage to TrafficCentral and it's business clients and partners is not all inclusive, and other damages are potential.

You agree not to divulge to any third party any information about the internal workings of TrafficCentral's exchange services or other products and will maintain all communications with TrafficCentral as highly confidential. You will report in writing any breaches in this confidence.
 
You understand that becoming a reseller or node operator does not convey the rights to resell or transfer the rights to any of our products.
 

Site owners will have the right to adjust participatory member exchange banner and Navmode exchange ratios up to the current network maximums set by TrafficCentral. You understand this is to prevent a complete imbalance which can quickly occur if a node does not operate intelligently or for improper business reasons. For purposes of this contract, the maximums will be set at a 5:3 (.60 credit) ratio for banner impressions and a 2:1 (.50 credit) ratio for Navscreen series, and 2:1 (.50 credit) ratio for other technologies. You agree that TrafficCentral may adjust these limits.

You understand that exchange node / website owners, and working resellers of the node, are able to discount prices through application of a coupon code to the store link or manually typed into the standard resellers store. This effectively means that you can adjust your prices by any whole percentage point between 100% and 100% minus your base discount. For Gold, the base discount is currently 45% and may change, therefore an example at this rate would be that you can discount in increments of 1% all the way to 55% of retail without changing any programming. This is simply done through the TrafficCentral ingenious use of another invention called "Dynamic Couponing", of which you will also have the LEGAL RIGHT to use while running a TrafficCentral exchange node or reseller website.

You understand that Local recruiting of your own resellers is HIGHLY encouraged and that TrafficCentral is not responsible for this or any other aspect of your businesses development. You understand that marketing and recruiting materials may be made ready for this activity at the discretion of TrafficCentral.

You understand that customization and publishing of local geographic zones will be expected and as the exchange owner, you will determine the local zones; and that it is fully intended that targeted zones for local geography's are designed into the lower level nodes. An example of this local targeting would be at the township level. You will have the full ability to create whatever zones you like but are expected to include the global common zones that TrafficCentral publishes for the purposes of consistency and normalization.
 
You understand that you may optionally enable or disable the adult zones, but the terms and conditions on the exchange / website cannot changed to eliminate the website owners or users agreement to view explicit adult content or materials. These clearly stipulate that any user or customer agrees to view adult oriented material. This is a legal safe guard as no exchange owner can prevent spoofing or cheats that sneak illicit content into a system behind a normal web pages that is approved for use in the system. As a TrafficCentral exchange owner, you agree not to remove or alter the Terms and Conditions unless required by State, District, and/or Federal laws of the geography the product site is operated in, and must request in writing for approval by TrafficCentral, any changes that you desire.

You agree to operate any TrafficCentral related software on highly reliable relatively state of the art equipment to promote reliable and predictable operation. You also agree that if found to be unreliable based on relative comparison to other TrafficCentral nodes, TrafficCentral has a right, within reason, to demand you switch hosting services or establish a reasonable and timely plan in writing to actively repair the problem, and if uncorrected, you may forfeit your ability to operate in the TrafficCentral network.

You agree to regularly backup your local site software and databases and that TrafficCentral is not responsible for doing so, nor responsible for training you how to properly backup your site or site's databases, and that TrafficCentral will not be held liable for any direct, indirect, or consequential damages related to loss of operation of hardware, software, data, reputation, or revenues related to the operation of TrafficCentral products on your computers or website.

You understand that licensure may be termninated if you are proven to be involved in any illegal activity, or being investigated for illegal activity by law enforcement or federal agencies.

Use of headings or titles in this agreement is for convenience only and do not identify legal boundaries or terms explicitly, nor do they necessarily affect the validity of the content or intent of the contract.

Use of logos and links: We retain the right to place a logo and active web site link to our development company on all web sites or products that we sell or originally coded.We reserve the right to adjust such logos and links on our behalf.

The requirements for the license for the Exchange Node that you are buying are relatively simple. You must have high quality hosting with ample datafeeds, FTP, and normal telnet, MySQL database and PHP/phpMyadmin enabled hosting. It is highly recommended that this be run on a dedicated server. Cron is not currently required but will be for a future version.

The buyer also understands that TrafficCentral makes a best effort to identify qualified business partners that may provide technology that are part of the TrafficCentral product offerings and that TrafficCentral cannot completely control the impact of such technologies. In the event a partner or vendor technology negatively impacts operations in any way, TrafficCentral's sole obligation is to attempt to replace that vendor's product with an equivalent if available.

Right to Terminate: In the event that this transaction should become unsatisfactory to either party involved, the limit of liability to buyer by seller will be whatever money paid to seller by the buyer. All information assets conveyed will be transferred back to seller and/or destroyed, whichever the seller deems appropriate. Buyer is responsible for meeting local and federal guidelines for collection of taxes if appropriate. (Paypal can compute this on a per state basis for the buyer and add it automatically for only residents of the state where the seller resides. This is not a problem, just 5 minutes to enable at Paypal).

Indemnification: Our web sites are all custom coded by employees, or consultants hired by The Internet Trust Inc. This eliminates any problems for you the buyer regarding licensing infringements. When purchasing this site, we indemnify the owner of any copyright problems related to all programming contained in the website as it is sold. In some cases, portions of the site such as graphic images may have potential liens or claims by other parties that we are unaware of at time of sale. In the event that this occurs, those portions of the website will be removed, replaced, or refunded at our choice. The buyer also agrees to indemnify the seller, reseller, Internet Trust Inc., it's officials and directors, and/or any subsidiaries from any and all liabilities resulting from the sale, purchase, and/or operation of the goods or services purchased including but not limited to: Performance of the web site or hosting services used, quality of or problems resulting from products sold on the site, or profitability of the web site.

DNS: The buyer must be aware that it can take 60 days to transition a domain name due to domain locks and moratoriums by domain registrars, which is beyond our control. The domain will transition immediately upon lock release by the registrar. I am the current legal owner of record of all domains I offer. This can be checked at betterwhois or other registrar that provides the "whois" DNS resolution service. During the transition period, the new owner assumes all liability for content on their site and will hold the seller blameless for all related legal issues, if any arise. (I have to put this in here because if you break any laws, like selling illegal drugs or deal with ponography related issues, while the domain is being transferred, you are the responsible party, not the seller).

Warranty: All web pages, domain names, technical materials, and web page scripts will be provided as demonstrated through this auction are provided with a limited warranty on the hosting service which it was sold on. Seller is a professional computer consultant and will make a best effort attempt to correct any defects found within the support period for free only if the site has not been relocated. In the event problems cannot be resolved due to technical reasons, the purchaser agrees to move the website to an agreed to hosting service or environment to enable repair or replacement of the sub-portions of the website that are failing. In some cases, various web hosting services change there policies without notice, and the purchaser understand that this is beyond the control or responsibility of the seller. Beyond the established free support period, normal support rate will apply for repair work at the buyers expense. The buyer has the right to hire any programming company or other entity to take over support of the site providing all provisions in this agreement are applied accordingly. Site programming is only completely accessible and programming logic properly warranteed on the current hosting service as installed and demonstrated, otherwise portions of the website may be delivered incomplete or not available or not supported on alternate hosting services. If the site is relocated by the new owner, all warrantees implied or otherwise, are voided. Evaluation of alternate hosting and relocation of websites are not a free service and are not included unless specifically stated.

Modification: The buyer agrees that these terms may be modified by the seller to meet local or federal laws, or to correct defects in the agreement, without prior notice. If any portion of this agreement is deemed illegal by any court, the remaining portions of the agreement will remain in effect.

Jurisdiction: All legal activity regarding this site will be handled under the premise of State of Florida, USA law. The Internet Trust Incorporated reserves the right to determine the geographic location for all legal dispute judication.

Responsibility: Purchaser is fully responsible for meeting all legal regulations and taxation reporting requirements. The Internet Trust Incorporated and it's staff or representatives does not claim any knowlege of any legal requirements and purchaser is responsible for appropriate research and resulting actions. The purchaser has other obligations and activities required to complete the smooth transition of the sale and is responsible for responding to these requests in a timely manner. After the sale, the purchaser will be emailed information and instructions on post-sale activities that must sometimes be completed in whole or in part by the purchaser. If these activities are not completed in a timely manner, loss of the domain or site can occur, and additional fees may be required to recover the site domain name from the registrar, or other minimal fees to take corrective actions, may apply. In the event of lack of cooperation of the purchaser and activities are not completed in a timely fashion, the site may be resold without notice to eliminate legal liabilities or losses created by relationship with the purchaser.

In the event a new web design company is used, they must include a reference to our company, at our option, that indicates "Original website design by...".
